1. Introduction

These Terms & Conditions (“Agreement”) govern the relationship between TentelShop (“we”, “our”, “us”) and the supplier (“you”, “your”) who submits products for listing on Amazon Seller Central through our services.

By using our website or submitting your products, you agree to these Terms.

2. Nature of Service

TentelShop provides the following services:

• Listing supplier products on Amazon Seller Central

• Managing product listings, pricing, and content

• Assisting with compliance and marketplace requirements

• Facilitating communication between Amazon and the supplier

TentelShop does not purchase products, own inventory, or act as a reseller unless otherwise agreed in writing.

3. Supplier Responsibilities

You agree to:

• Provide accurate and complete product information

• Ensure all products comply with UAE laws and regulations

• Ensure products meet Amazon UAE policies and standards

• Provide valid documentation (e.g., invoices, certifications, barcodes)

• Maintain sufficient inventory to fulfill orders

• Notify TentelShop of any changes to product details or availability

You are fully responsible for the legality, safety, and authenticity of your products.

4. Product Compliance

You confirm that:

• All products are genuine and not counterfeit

• All required certifications (ESMA, ECAS, etc.) are valid

• Products meet UAE consumer protection and safety standards

• Products do not violate trademarks, copyrights, or intellectual property

TentelShop is not liable for any legal issues arising from non‑compliant products.

5. Listing Management

TentelShop may:

• Create or edit product listings

• Adjust pricing based on market conditions (if agreed)

• Optimize titles, descriptions, and keywords

• Update images and product content

TentelShop does not guarantee sales, ranking, or performance.

6. Fees & Payments

Fees may include:

• Listing service fees

• Commission on sales

• Monthly management fees

• Additional service charges (e.g., photography, compliance support)

Payment terms will be agreed separately between TentelShop and the supplier.

7. Order Fulfillment

Depending on the chosen model:

FBA (Fulfilled by Amazon)

Supplier is responsible for delivering inventory to Amazon warehouses.

FBM (Fulfilled by Merchant)

Supplier is responsible for packing and shipping orders on time.

TentelShop is not responsible for delays, returns, or shipping issues.

8. Intellectual Property

All product information, images, and branding provided by the supplier remain the supplier’s property.

TentelShop retains rights to listing content created by our team.

9. Limitation of Liability

TentelShop is not liable for:

• Amazon account actions (suspensions, delays, removals)

• Product compliance issues

• Supplier errors or incomplete information

• Loss of sales or revenue

• Marketplace changes or policy updates

Our liability is limited to the amount paid by the supplier for services.

10. Termination

Either party may terminate this Agreement with written notice.

TentelShop may terminate immediately if:

• Products violate UAE law

• Products violate Amazon policies

• Supplier provides false or misleading information

Upon termination, all listings may be removed.

11. Governing Law

This Agreement is governed by the laws of Abu Dhabi, United Arab Emirates.

12. Changes to Terms

TentelShop may update these Terms at any time. Continued use of our services means you accept the updated Terms.
